Eight companies met our criteria from the eight 10-K annual reports filed with the SEC on 14 September 2026. To qualify, a company must have filed an annual 10-K report on the target date and have a prior-year 10-K available for a direct year-over-year comparison.
SEC What Changed Methodology
Each company is scored on how similar its current annual filing text is to the prior year. Scores run from 0 to 1 — a score of 1 means the language is essentially unchanged; a lower score means more has changed. We flag three sections that carry the most disclosure signal: Business, Risk Factors, and MD&A. Recent research suggests that lower scores indicate that a company has made significant changes to their filings, these changes are often buried in the filings. If a company was to report positive news, they would likely do so in the form of a press release or statement on their website. The large changers have often underperformed in the market, while the stable-language filers have earned positive abnormal returns.
Key Takeaways
- HAIN CELESTIAL GROUP INC (High) — Hain Celestial is now a debt-sensitive restructuring story, with the International sale and refinancing tied directly to the company’s near-term survival and stock listing risk.
- VERDE RESOURCES, INC. (High) — Verde is now betting its growth story on biochar licensing, carbon credits, and partner-led expansion rather than its earlier broader product push.
- WEWARDS, INC. (High) — Wewards is effectively out of cash and remains dependent on outside funding or related-party support to stay afloat.
- AMERICAN BATTERY TECHNOLOGY Co (Medium) — ABTC is signaling a broader critical-minerals ambition, but investors should look for proof that the expanded story translates into real operating progress.
- UNITED NATURAL FOODS INC (Medium) — UNFI is telling investors it is shrinking and reorganizing the business to improve margins, cash flow and leverage rather than chasing broad-based growth.
- Benitec Biopharma Inc. (Medium) — Benitec is signaling a more focused BB-301-led development strategy, but the path still depends on clinical progress, partnerships, and future funding.
- Laredo Oil, Inc. (Low) — The filing shows a modest strategic broadening toward international UGD projects, but not yet evidence of a material operating inflection.
- RADIANT LOGISTICS, INC (Low) — Radiant’s filing is mostly a cleanup, but it keeps debt compliance and cyber resilience squarely on the radar.

Hain Celestial’s latest filing shifts the company’s narrative toward a pending sale of its International business and away from the prior emphasis on personal care. The company also added more explicit debt and listing-risk language, including the need to extend its credit agreement before the transaction can close. Overall, the filing points to a more focused North America business but with meaningful execution and financing risk in the near term.
Main Changes
- The company now says its strategy includes the "pending sale of our International business," replacing last year’s broader focus on the personal care business.
- New risk language was added around "compliance with our credit agreement" and the ability to "refinance, retire and/or extend the maturity of our existing debt," with the credit agreement maturing on December 22, 2026.
- The filing adds a specific warning about "the potential cessation of our common stock’s listing on Nasdaq," signaling a new market-access risk.
- Business disclosure was reshaped to reflect a smaller footprint: North America manufacturing revenue fell to 53% of revenue in fiscal 2026 from 64% in fiscal 2025, and the Mississauga facility is now tied to assets held for sale.
Watch Items
- The International sale is now central to the story, so investors should watch execution risk, deal timing, and whether the company can close on the stated conditions.
- Debt refinancing has become a key near-term issue because the sale depends on extending the credit maturity by at least nine months.
- The Nasdaq listing warning suggests liquidity and capital structure stress could become more visible if the refinancing or sale slips.

Verde’s filing shows a clear strategic shift toward biochar-based licensing, distribution, and carbon-credit monetization, with Ergon remaining the core commercial partner. It also adds a new Singapore expansion framework through Highway International, which could broaden the company’s reach if pilot work and approvals go well. Overall, the company is moving from a general product story to a more focused commercialization plan tied to specific partners and applications.
Main Changes
- The Business section now says Verde’s go-forward model centers on "sales of biochar" and a licensing/distribution strategy with Ergon, replacing the earlier broader framing around road construction materials and general commercialization.
- New language adds a non-binding Highway International Pte. Ltd. memorandum of understanding to deploy, validate, commercialize and license Verde’s engineered biochar carbon platform in Singapore, with an initial pilot tied to Singapore’s LTA and a possible exclusive licensing deal.
- The filing adds that Verde expects to monetize "carbon removal credits" and manage carbon accounting, biochar distribution, and construction support services, showing a more integrated commercial model than before.
- The company also discloses a shift in the Ergon relationship: after first commercial orders for Verde V24, the strategy moved away from Verde V24 and now focuses on supplying engineered biochar for Ergon’s asphalt liquids across multiple road applications.
Watch Items
- The Singapore MOU could open a second regional commercialization path, but it is non-binding and still depends on pilot success, regulatory approvals, and definitive agreements.
- The move toward carbon credits and carbon accounting suggests Verde is trying to build higher-margin revenue streams, but execution will depend on validation, registry acceptance, and customer adoption.
- The Ergon pivot away from Verde V24 signals management is refining the product mix; investors should watch whether the new biochar-based model scales faster than the prior approach.
Important Filing Changes
Further, our strategic collaboration with Ergon, a large and established player in the road materials industry, is expected to help us manage competitive pressures. Our proprietary technologies, particularly in the road construction sector, enable the integration of carbon-sequestering materials like biochar directly into asphalt and other mix designs. These solutions are not only difficult to replicate but are also backed by real-world validation and the ability to generate carbon removal credits.
Memorandum of Understanding On August 26, 2026, VRAPPL entered into the Highway MoU with Highway, a Singapore-based integrated asphalt and road-infrastructure company, establishing a strategic framework for the proposed deployment, validation, commercialization and licensing of our engineered biochar carbon platform in Singapore. Under the Highway MoU, the parties intend to collaborate on an initial pilot project with Singapore’s LTA to evaluate the technology’s technical performance, production readiness, carbon accounting, digital MRV framework, and broader commercial rollout potential.
As a result, our business operations are not materially affected by seasonality. We maintain the ability to license, supply, and support deployment year-round, ensuring consistent commercial activity and project readiness regardless of climate. Intellectual Property We currently maintain rights to the key technologies we use.

Wewards’ latest filing shows a sharper liquidity squeeze: cash fell to zero, and management says it cannot fund operations for the next 12 months without new capital. The company also repaid $633,300 of related-party convertible notes, which further tightened cash. Business-wise, it still has no revenue and is trying to secure licensing deals to commercialize its game platform.
Main Changes
- MD&A says the company ended May 31, 2026 with "no cash on hand" and "negative working capital of $100," versus $693,290 of cash and negative working capital of $3,352,454 in the prior year.
- The company added that it "does not currently have sufficient funds to fund our operations at their current levels for the next twelve months," and reiterated that continued operations depend on raising capital and achieving profitable revenues.
- Financing language shifted from reliance on Mr. Pei and affiliated companies for convertible loans to a more stressed position, noting a $633,300 repayment of related-party convertible notes during the year and no assurance that future financing will be available.
- The business section now says the company did not generate any revenue or incur software development costs during fiscal 2026 or 2025 and is "actively seeking licensing arrangements to bring the game to market."
Watch Items
- Zero cash and explicit 12-month funding shortfall point to acute liquidity risk and a likely need for near-term financing.
- Repayment of related-party convertible notes suggests the company may be reducing debt, but it also consumed cash that could have supported operations.
- The continued lack of revenue and reliance on licensing arrangements indicate the platform remains pre-commercial, limiting visibility on when the business can self-fund.

ABTC widened its business description from battery materials to critical minerals, adding copper, aluminum, and graphite to its target list. The company also reframed its recycling operation as a critical mineral recycling factory, reinforcing a broader domestic supply-chain message. The core model is still the same, but management is clearly positioning the company as a larger minerals platform.
Main Changes
- The company now describes itself as an "integrated critical minerals manufacturing company" instead of an "integrated critical battery materials company," broadening its stated scope beyond battery inputs.
- The list of target materials expanded from "lithium, nickel, cobalt, and manganese" to include "copper, aluminum, and graphite," signaling a wider domestic minerals strategy.
- The recycling plant is now called a "critical mineral recycling factory," and the business description says the company is working to return "critical minerals" to the domestic supply chain in a closed-loop fashion.
- The recycling process description was tightened: black mass and byproducts may be sold or further processed into battery-grade materials, with wording emphasizing higher-purity outputs for manufacturers.
Watch Items
- The broader positioning suggests management wants investors to view ABTC as more than a battery recycler and explorer, which could expand its addressable market but also dilute focus.
- Adding copper, aluminum, and graphite points to a larger strategic ambition, but execution risk rises if the company tries to commercialize too many material streams at once.
- The updated language still centers on domestic supply-chain security, so investors should watch whether this rebranding is matched by new contracts, permits, or production milestones.

UNFI’s latest filing shows a clearer pivot toward a more focused grocery wholesale model built around natural, specialty and differentiated retail customers. The company also describes a smaller distribution network and a new two-division operating structure designed to improve efficiency, service and reporting alignment. Overall, management is signaling that profitability, cash generation and debt reduction are now central to the story.
Main Changes
- The company rewrote its business description from a broad distributor of "grocery and non-food products" to a "grocery wholesaler and support services provider," emphasizing "data, insights, programs and services" as part of its value proposition.
- UNFI reduced its stated scale from "approximately 230,000 products" and "52 distribution centers" to "over 200,000 products" and "46 distribution centers," with warehouse space cut from about 30 million to 26 million square feet.
- The strategic priority section now says the company is focused on being the "partner of choice" for natural, organic, specialty, multi-cultural and differentiated grocery retailers, while using capital to improve free cash flow, lower leverage and reduce debt.
- The filing adds a more explicit operating model shift, including the second-quarter realignment into two product-centered divisions and the fourth-quarter restructuring of financial reporting to match that structure.
Watch Items
- A smaller network can improve efficiency, but investors should watch whether service levels and customer retention hold up during the transition.
- The new structure may help execution, yet it also raises the bar for management to show measurable gains in profitability and cash generation.

Benitec’s new filing puts BB-301 more clearly at the center of the story and broadens the description of its gene-therapy strategy. It also adds more explicit discussion of AAV development, partnerships, and financing needs, while noting that Medicare drug-pricing rules do not yet affect the company because it has no approved products. Headcount also increased, with more employees dedicated to research and development.
Main Changes
- The Business section now explicitly says management is focused on "development of BB-301 and other medicines," making BB-301 a named centerpiece of the company’s strategy.
- The forward-looking risk list was expanded to include "development of novel AAV vectors," "potential future out-licenses and collaborations," and the "potential for a ‘one shot’ cure," sharpening the company’s gene-therapy positioning.
- The filing adds a new Medicare drug-pricing discussion, saying the Inflation Reduction Act creates negotiation and rebate rules, but that "because we have no approved or marketed products, these provisions do not currently apply to us."
- Employee count increased to 24 full-time employees from 19, with R&D staff rising to 17 from 14, signaling a larger research buildout.
Watch Items
- BB-301 being singled out suggests the lead program is becoming more central to the investment case and future value creation.
- The added AAV, collaboration, and financing language highlights that execution will depend on platform progress and external capital or partners.
- The Medicare pricing note is not an immediate issue, but it shows management is thinking ahead about commercialization and reimbursement risk.

Company Overview Benitec Biopharma Inc. (“Benitec” or the “Company” or in the first person, “we” or “our”) is a clinical-stage biotechnology company focused on the advancement of novel genetic medicines with headquarters in Hayward, California. We are developing a silence and replace-based therapeutic (BB-301) for the treatment of Oculopharyngeal Muscular Dystrophy ("OPMD"), a chronic, life-threatening genetic disorder.
BB-301 is a silence and replace-based genetic medicine currently under development by Benitec. BB-301 is an AAV-based gene therapy designed to permanently silence the expression of the disease-causing gene (to slow, or halt, the biological mechanisms underlying disease progression in OPMD) and to simultaneously replace the mutant gene with a wildtype gene (to drive restoration of function in diseased cells). This fundamental therapeutic approach to disease management is called “silence and replace.” The silence and replace mechanism offers the potential to restore the normative physiology of diseased cells and tissues and to improve treatment outcomes for patients suffering from the chronic, and potentially fatal, effects of OPMD.

Laredo Oil kept its core story intact: it is still an oil exploration and production company focused on mature fields and stranded reserves using UGD. The main update is that it now says UGD opportunities are global and that it is pursuing projects internationally, which broadens the company’s stated reach. It also reported a small increase in full-time staff from five to seven.
Main Changes
- The company added that its underground gravity drainage, or UGD, opportunities are "global in nature" and that it now "pursue[s] projects internationally," broadening the stated scope of its oil recovery strategy.
- The business description still says Laredo is focused on acquiring mature oil fields and recovering "stranded" reserves, but now frames that effort as an international project pipeline rather than a purely general search for properties.
- The personnel disclosure increased from "five full-time employees" to "seven full-time employees," indicating a modest expansion in operating headcount.
- The authorized common stock increase to 120,000,000 shares remains in the business section, with no new strategic use disclosed for the added capacity.
Watch Items
- International project language suggests management is trying to widen the opportunity set, which could increase growth optionality but also adds execution and jurisdictional risk.
- A larger employee base may signal more active deal sourcing or technical work, but it does not yet show a step-change in operating scale.
- No new revenue model, asset base, or financing plan was disclosed, so the strategic shift remains more aspirational than proven.
Important Filing Changes
We believe that the UGD method is applicable to mature oil fields that have very specific geological and reservoir characteristics. We have done extensive research and have identified oil fields within the United States and globally that we believe are applicable for UGD recovery methods. Our primary business and focus is now to pursue and recover stranded oil from selected mature fields as necessary funds become available.
Beginning in October 2009, we shifted our focus to locating mature oil fields with the intention of acquiring those oil fields and recovering stranded oil reserves using proprietary enhanced recovery methods known as underground gravity drainage, or UGD. UGD opportunities are global in nature and we pursue projects internationally. The original UGD method uses conventional mining processes to establish a drilling chamber underneath an existing oil field from which closely spaced wellbores are drilled directionally up into the reservoir, using residual radial pressure and gravity to then drain the targeted reservoir through the wellbores.
All intellectual property generated by SORC prior to December 31, 2020 transferred with the stock purchase. Prior to purchasing the shares of SORC, while implementing UGD projects for Allegheny, we gained specialized know-how, intellectual property and operational experience in evaluating, acquiring, operating and developing oil and gas properties, as well as expertise in designing, drilling and producing conventional oil wells. Based upon that know-how, we identified and acquired 45,246 gross acres, and 37,932 net acres, of mineral property interests in the State of Montana in the Lustre and Midfork fields and the West Fork area.

Radiant made only modest updates to its 10-K, with the most notable tweaks in risk disclosures. It now names its revolving credit facility directly and adds clearer board oversight language around cybersecurity reporting, while reiterating that the prior cyber incidents are not expected to cause further material harm. Overall, the filing reads as a governance and wording refresh rather than a change in business direction or risk profile.
Main Changes
- The company replaced the generic reference to "our indebtedness" with a specific mention of "our Revolving Credit Facility" in the forward-looking risk assumptions, making the financing reference more explicit.
- In cybersecurity, the filing now says the AEOC is "additionally responsible for reviewing the cybersecurity disclosures required to be included in our filings with the SEC," adding a clearer board-level disclosure oversight role.
- The cyber-risk section was tightened to say the company "experienced and previously reported two separate cyber events" in 2021 and 2024, rather than describing them in more detail, while keeping the core message that no material adverse impact is expected.
- The company also changed the wording from "we have not identified any cybersecurity threats" to "we have not identified any cybersecurity threats that are reasonably anticipated to have a material effect," which is a slightly more formal restatement of the same conclusion.
Watch Items
- The explicit mention of the revolving credit facility keeps debt compliance front and center for investors, even though no new covenant issue is disclosed.
- The added board oversight language suggests management wants to show stronger governance around cyber reporting after prior incidents.
- The company is still signaling that the 2021 and 2024 cyber events are contained, so the key investor question is whether those controls hold up under future attacks.

Why SEC Filing Changes Matter
Research by Cohen et al. (Lazy Prices, 2020) — using the complete history of SEC filings from 1995 to 2014 — shows that when firms make active changes to their annual disclosures, those changes convey an important signal about future operations and returns. A portfolio that shorted "changers" and bought "non-changers" earned over 22% per year in annual alpha historically. Changes to the Risk Factors section, Business description, and language referring to the executive team were especially informative. Critically, these returns accrued gradually as information was later revealed through news and earnings — not at the time of filing — suggesting many investors remain inattentive to these simple, public signals. This snapshot is a starting point for deeper investigation, not a buy or sell recommendation.
